Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Mayhem Arena LLC, a limited liability company organized under the laws of the Commonwealth of Virginia ("Mayhem Arena," "Company," "we," "us," or "our"). These Terms govern your access to and use of the Mayhem Arena website located at mayhemarena.com (the "Site") and all related services, content, features, events, programs, and facilities operated by Mayhem Arena (collectively, the "Services"). BY ACCESSING OR USING THE SITE OR SERVICES, YOU AFFIRM THAT YOU ARE AT LEAST 18 YEARS OF AGE, HAVE READ AND UNDERSTOOD THESE TERMS, AND AGREE TO BE LEGALLY BOUND BY THEM. If you are accessing or using the Site or Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and all references to "you" shall refer to that entity. If you do not agree to these Terms, you must immediately cease all use of the Site and Services.

Mayhem Arena operates (or intends to operate) a live robot combat entertainment venue offering, among other things: ticketed spectator events and tournaments; "Pilot Experience" sessions in which guests may operate radio-controlled combat robots; STEM education programs and workshops; private corporate events and group bookings; food and beverage service; and retail merchandise. Certain Services described on the Site are pre-launch offerings and are not yet available. Information, pricing, schedules, features, and availability are subject to change at any time without notice. Mayhem Arena expressly disclaims any obligation to provide any specific service or facility until a formal written agreement between the parties is executed. Use of the Site, including participation in the waitlist, pre-registration program, or newsletter subscription, does not create any contractual commitment by Mayhem Arena to provide any specific service, to open the facility on any particular date, or to reserve any space, session, or priority for any user.

Certain features of the Site may require you to submit personal information, including your name and email address, through forms for purposes such as joining the waitlist, expressing interest in investor or corporate programs, or subscribing to the newsletter. You represent that all information you provide is accurate, complete, and current. Waitlist and Pre-Registration: Placement on the Mayhem Arena waitlist or pre-registration list does not guarantee admission, a ticket, a seat, or any priority access to any event, session, or facility. Waitlist participants will be notified of upcoming opportunities at Mayhem Arena's sole discretion. Mayhem Arena reserves the right to close, modify, or cancel the waitlist program at any time and for any reason. You are responsible for maintaining the confidentiality of any account credentials you establish and for all activities that occur under your account. You agree to notify Mayhem Arena promptly of any unauthorized access or use of your account.

4.1 Ownership The Site and all of its content, features, and functionality — including but not limited to text, graphics, logos, images, video and audio clips, data compilations, software, and the selection and arrangement thereof — are the exclusive property of Mayhem Arena LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. 4.2 Limited License Subject to these Terms, Mayhem Arena grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial informational purposes. This license does not include the right to: (i) reproduce, distribute, modify, or create derivative works of any Site content; (ii) use any data mining, robots, scraping, or similar data gathering tools; (iii) use the Site or its content for any commercial purpose; or (iv) remove any copyright, trademark, or other proprietary notices. 4.3 Trademarks "Mayhem Arena," the Mayhem Arena logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Mayhem Arena LLC. You may not use such marks without Mayhem Arena's prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners. 4.4 Feedback If you submit feedback, suggestions, ideas, or other content to Mayhem Arena ("Feedback"), you grant Mayhem Arena a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Feedback in any manner and for any purpose without compensation or attribution to you.

You agree that you will not use the Site or Services to: • Violate any applicable federal, state, local, or international law or regulation. • Engage in any conduct that is fraudulent, misleading, deceptive, defamatory, harassing, threatening, obscene, or otherwise objectionable. • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity. • Collect or harvest any personally identifiable information from the Site without authorization. • Transmit any unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation. • Introduce any virus, Trojan horse, worm, logic bomb, or other malicious or technologically harmful material. • Attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site. • Interfere with or disrupt the integrity or performance of the Site or the data contained therein. • Use the Site in any manner that could disable, overburden, damage, or impair the Site. • Engage in any activity that constitutes or encourages conduct that would constitute a criminal offense or give rise to civil liability. Mayhem Arena reserves the right, in its sole discretion, to terminate your access to the Site and Services for any violation of these provisions or for any other reason, without notice and without liability.

6.1 Physical Activities Participation in Mayhem Arena's physical activities — including but not limited to operating combat robots, attending live combat events, accessing the arena floor, and participating in STEM workshops — involves inherent risks of physical injury, including serious injury or death. By participating in any such activity, you acknowledge and voluntarily assume all risks associated with participation. 6.2 Waivers and Releases Prior to participating in any in-person activity at Mayhem Arena, you and any minor for whom you are a legal guardian will be required to sign a separate written liability waiver and release of claims. The execution of any such waiver is a condition precedent to participation and will be governed by its own terms. These Terms do not replace, supersede, or constitute such a waiver. 6.3 Age Requirements Participation in certain activities may be subject to minimum age requirements, weight restrictions, physical fitness requirements, or other eligibility criteria, to be determined by Mayhem Arena and communicated at the time of booking. Minors must be accompanied by a consenting parent or legal guardian.

7.1 Pricing All prices for tickets, sessions, packages, and merchandise are listed in U.S. dollars and are subject to change without notice. Prices displayed on the Site are estimates and may not reflect final pricing, which will be established at or prior to launch. 7.2 Payment Processing Purchases made through the Site will be processed by third-party payment processors. By submitting payment information, you authorize the applicable processor to charge your payment method for the total amount due. Mayhem Arena does not store complete credit card or payment account information on its servers. 7.3 Refund Policy Mayhem Arena's refund and cancellation policy for ticketed events, Pilot Experience sessions, and corporate bookings will be published in full prior to tickets going on sale. Mayhem Arena reserves the right to cancel, reschedule, or modify any event, session, or program. In the event of a cancellation by Mayhem Arena, affected purchasers will be offered a refund or credit, as determined by Mayhem Arena in its reasonable discretion. 7.4 Taxes You are responsible for any applicable sales, use, or other taxes imposed on your purchase, unless otherwise indicated.

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MAYHEM ARENA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT. MAYHEM ARENA DOES NOT WARRANT THAT: (I) THE SITE OR SERVICES WILL MEET YOUR REQUIREMENTS; (II) THE SITE OR SERVICES WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; (III) THE RESULTS OBTAINED FROM THE USE OF THE SITE OR SERVICES WILL BE ACCURATE OR RELIABLE; OR (IV) ANY ERRORS IN THE SITE OR SERVICES WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM MAYHEM ARENA OR THROUGH THE SITE WILL CREATE ANY WARRANTY NOT EXPRESSLY SET FORTH IN THESE TERMS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAYHEM ARENA LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR SERVICES, EVEN IF MAYHEM ARENA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL MAYHEM ARENA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SITE AND SERVICES EXCEED THE GREATER OF: (I) THE TOTAL AMOUNT PAID BY YOU TO MAYHEM ARENA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (II) ONE HUNDRED DOLLARS ($100.00). THE LIMITATIONS SET FORTH IN THIS SECTION WILL NOT LIMIT OR EXCLUDE LIABILITY FOR MAYHEM ARENA'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR FOR MATTERS THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Mayhem Arena LLC, its members, managers, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (i) your violation of these Terms; (ii) your use of the Site or Services; (iii) your submission of any information or content to Mayhem Arena; (iv) your violation of any third-party right, including any intellectual property right or privacy right; or (v) any claim that your content caused damage to a third party. Mayhem Arena reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with Mayhem Arena in asserting any available defenses.

11.1 Governing Law These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without giving effect to any choice or conflict of law provision or rule. 11.2 Informal Resolution Before filing any formal legal claim, you agree to contact Mayhem Arena at legal@mayhemarena.com and provide a written description of the dispute and the relief you seek. You and Mayhem Arena agree to make reasonable good-faith efforts to resolve the dispute informally for at least thirty (30) days before initiating any arbitration or court proceeding. 11.3 Binding Arbitration Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, that has not been resolved informally as provided above, shall be determined by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, before a single arbitrator. The place of arbitration shall be Fairfax County, Virginia, unless the parties agree otherwise in writing. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. 11.4 Class Action Waiver TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING AGAINST MAYHEM ARENA IN ARBITRATION OR IN COURT. 11.5 Small Claims Court Notwithstanding the foregoing, either party may bring an individual action in a small claims court of competent jurisdiction, provided that the claim remains in such court and advances only on an individual basis.

Mayhem Arena reserves the right, in its sole discretion, to suspend or terminate your access to all or any part of the Site and Services at any time, for any reason, with or without notice and without liability. Upon termination: (i) the license granted to you under Section 4.2 will automatically terminate; (ii) you remain bound by all obligations accrued prior to termination; and (iii) Sections 4, 5, 6, 8, 9, 10, 11, and 13 of these Terms shall survive. You may discontinue use of the Site at any time. To unsubscribe from our mailing list, use the "unsubscribe" link contained in any marketing email or contact us at the address in Section 13.

Entire Agreement: These Terms, together with our Privacy Policy and any additional terms applicable to specific Services you use, constitute the entire agreement between you and Mayhem Arena with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, representations, warranties, and understandings. Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect, and the invalid, illegal, or unenforceable provision will be modified to the minimum extent necessary to make it valid, legal, and enforceable. Waiver: Mayhem Arena's failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Assignment: You may not assign or transfer these Terms or any of your rights or obligations hereunder without Mayhem Arena's prior written consent. Mayhem Arena may freely assign these Terms. Notices: All notices from Mayhem Arena to you will be provided via email or by posting to the Site. Mayhem Arena reserves the right to amend or update these Terms at any time in its sole discretion. We will post the revised Terms on this page with an updated "Last Updated" date. If we make material changes, we will provide additional notice, such as a prominent notice on the Site. YOUR CONTINUED USE OF THE SITE OR SERVICES FOLLOWING THE POSTING OF REVISED TERMS CONSTITUTES YOUR ACCEPTANCE OF SUCH CHANGES. If you do not agree with the revised Terms, you must immediately cease using the Site and Services. We encourage you to review these Terms periodically. The version of the Terms in effect at the time of any transaction or use of the Services will govern that transaction or use.
